15.0 INDEMNIFICATION
By using this site, you agree to defend, indemnify, and hold harmless CleoLyte and its affiliated companies from any claims, damages, losses, costs, or expenses—including reasonable legal fees—that arise out of or relate to your use of the site, misuse of any products, or violation of any terms, representations, or warranties outlined in this Agreement.
16.0 CHOICE OF LAW AND VENUE
These Terms are governed by the laws of the State, without regard to its conflict of law principles. You and CleoLyte agree that any legal disputes or claims related to these Terms or CleoLyte products—unless subject to mandatory arbitration as outlined below—will be resolved exclusively in the state or federal courts. Both parties waive any objections to jurisdiction, venue, or the convenience of these courts.
17.0 ARBITRATION AGREEMENT
This section outlines the terms under which any disputes, claims, or controversies between you and CleoLyte will be resolved through binding arbitration ("Arbitration Agreement").
Dispute Resolution Through Arbitration
You and CleoLyte agree that any dispute, claim, or controversy arising out of or related to these Terms or your use of CleoLyte products—regardless of the legal basis (including contract, tort, statute, fraud, or misrepresentation), and whether occurring during or after the termination of these Terms—will be resolved through binding individual arbitration, not in court and not as part of a class action. Both you and CleoLyte agree that the arbitrator will have the sole authority to decide questions about the arbitrator’s own jurisdiction, including any issues regarding the scope, validity, or enforceability of this Arbitration Agreement. There is no judge or jury in arbitration, and the ability to appeal or seek court review of an arbitration award is limited. The arbitrator is required to follow these Terms and may award the same damages and relief that a court could, including legal fees and costs where permitted by law. However, the arbitrator may not grant relief that benefits anyone other than the individual parties involved in the arbitration. This Arbitration Agreement remains in effect even after the termination of these Terms.
Exceptions To Arbitration
You and CleoLyte agree that nothing in this Arbitration Agreement shall be interpreted to waive, preclude, or otherwise limit either party’s right, at any time, to bring an individual action: (1) in a U.S. small claims court, or (2) in a court of law—subject to the jurisdiction and venue outlined in the “Governing Law & Jurisdiction” section above—for the purpose of seeking (a) temporary or preliminary individualized injunctive relief, pending a final decision from the arbitrator, or (b) public injunctive relief, pending a ruling by the arbitrator on the merits of that claim. Additionally, this provision does not prevent either you or CleoLyte from raising concerns with federal, state, or local government agencies. If the law allows, such agencies may seek relief on your behalf (or on ours).
Class Action Waiver
You and CleoLyte agree that any claims must be brought solely in your or our individual capacities, and not as a plaintiff or class member in any class, collective, or representative action. Unless both you and CleoLyte expressly agree otherwise, no arbitrator or judge may combine multiple claims or preside over any form of class or representative proceeding.
The arbitrator may grant injunctive relief only to the individual party seeking it, and only to the extent necessary to address that party’s specific claim.
If a court determines that any part of this section cannot be legally enforced for a particular claim, then that specific claim (and only that claim) will be excluded from arbitration and may proceed in court.
Initiating Arbitration & Procedures
Either you or CleoLyte may initiate arbitration. Any arbitration between us will be conducted in accordance with the Consumer Arbitration Rules of the American Arbitration Association (“AAA”) in effect at the time (the “AAA Rules”), as modified by this Arbitration Agreement. Both parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision, regardless of the governing law stated elsewhere in these Terms.
Arbitration hearings will be held by phone or videoconference whenever possible. However, if the arbitrator determines that an in-person hearing is necessary, the location will be decided in accordance with the AAA Rules.
The costs of arbitration, including attorney fees, will be the responsibility of the losing party—unless the arbitrator’s award states otherwise.
Notice of Dispute
If either you or CleoLyte intends to initiate arbitration, the first step is to send a written notice of the dispute ("Notice") to the other party. This Notice must be sent both by email to hello@cleolyte.com and by certified mail, FedEx, UPS, or Express Mail (signature required). The Notice must include: A clear description of the nature and basis of the dispute or claim, and the specific relief being requested ("Demand"). Both parties agree to make a good faith effort to resolve the matter informally. If no resolution is reached within 30 days after the Notice is received, either party may move forward with initiating an arbitration proceeding.
Severability and Jurisdiction
If any part or all of this Arbitration Agreement is found to be unenforceable or invalid, then the parties agree that any dispute, claim, or controversy no longer subject to arbitration will be governed by the exclusive jurisdiction and venue outlined in the “Governing Law & Jurisdiction” section above.
18.0 TERMINATION
This Agreement remains in effect until it is terminated by either you or CleoLyte. You may terminate it at any time by providing written notice to CleoLyte. We reserve the right to terminate this Agreement at any time, without prior notice, if in our sole judgment you violate any of its terms or conditions. The effective date of termination will be considered the official end of this Agreement for all purposes.
